Terms of use

1. Introduction

These Terms of Use ("Terms") govern your access to and use of the websites, mobile applications, APIs, and other digital products operated by Uverus Technologies Limited ("Uverus", "we", "us", "our"), including Uverus Banking, Uverus Pay, Uverus Payments, and Uverus Health (collectively, the "Services").

By accessing or using any of our Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy policy. If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and Uverus Technologies Limited. If you are using a Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, and references to "you" shall include that entity.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age;
  • Be a resident of Nigeria or another jurisdiction in which the specific Service you are using is offered;
  • Not be subject to any applicable sanctions, or be owned or controlled by any person or entity that is subject to sanctions administered by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, or any other applicable authority;
  • Have the legal capacity to enter into binding contracts under the laws of your jurisdiction.

We reserve the right to refuse access to our Services to any person who does not meet these eligibility requirements, or for any other lawful reason.

3. Account registration

To access most of our Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update it promptly if it changes. Providing false or misleading information is a breach of these Terms and may result in immediate account suspension.

You are solely responsible for maintaining the confidentiality of your account credentials — including your password, PIN, and any two-factor authentication codes — and for all activity that occurs under your account. You must notify us immediately at hello@uverus.com if you suspect any unauthorised access to your account.

We will never ask you for your password or PIN via email, SMS, or phone call. Any communication purporting to be from Uverus that requests your credentials should be treated as fraudulent and reported to us immediately.

4. Our services

Uverus Technologies operates a family of regulated financial and healthcare technology platforms. A brief description of each:

  • Uverus Banking — a white-label wallet infrastructure platform for businesses, banks, and fintechs. Enables licensed entities to launch branded wallet products with embedded compliance controls.
  • Uverus Pay — a consumer-facing wallet application for sending money, paying bills, and managing finances across African markets.
  • Uverus Payments — B2B payment rails for businesses that need to move money across borders within Africa, integrating with interbank networks, mobile money operators, and card schemes.
  • Uverus Health — a healthcare platform comprising HealthHub (clinical records and provider management) and WellBank (health savings and insurance benefits).

Each product is subject to additional product-specific terms and conditions, which supplement these Terms. In the event of a conflict, the product-specific terms prevail for that product.

5. Acceptable use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our Services for any fraudulent, deceptive, or illegal purpose, including money laundering, financing of terrorism, or breach of any sanctions regime;
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity;
  • Attempt to gain unauthorised access to any part of our Services, our systems, or the accounts of other users;
  • Use automated means — including bots, scrapers, or crawlers — to access, collect, or extract data from our Services without our prior written consent;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any component of our Services;
  • Transmit any viruses, malware, or other harmful code through our Services;
  • Interfere with or disrupt the integrity or performance of our Services or the data contained therein;
  • Use our Services to send unsolicited commercial communications.

We monitor usage of our Services for compliance with these Terms and applicable law. We may report suspicious activity to relevant authorities, including the EFCC, CBN, and Nigerian Police Force.

6. Intellectual property

All intellectual property rights in our Services — including but not limited to software, source code, databases, designs, trademarks, trade names, logos, and documentation — are owned by or licensed to Uverus Technologies Limited. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our Services for their intended purpose. This licence does not permit you to sublicense, sell, resell, or otherwise transfer any rights in our Services to any third party.

Any feedback, suggestions, or ideas you provide to us regarding our Services may be used by us without restriction or compensation to you.

7. Payments and fees

Certain Services are subject to fees. All applicable fees are disclosed in the relevant product interface before you commit to a transaction or subscription. You agree to pay all applicable fees in accordance with the payment terms presented to you at the time of purchase or account setup.

We reserve the right to change our pricing. Where we increase fees for existing users of a paid service, we will provide at least 30 days' notice before the change takes effect. Continued use of the relevant Service after the effective date of a fee change constitutes acceptance of the new pricing.

All fees are stated in Nigerian Naira (NGN) unless otherwise specified, and are exclusive of any applicable taxes, which are your responsibility.

8. Suspension and termination

We may suspend or terminate your access to our Services, with or without notice, if we reasonably believe that:

  • You have breached any provision of these Terms;
  • Your account is being used for fraudulent, illegal, or harmful activity;
  • We are required to do so by law or by order of a regulatory authority;
  • Your account poses a risk to the security or integrity of our Services or other users.

If your account is suspended pending investigation, we will notify you unless disclosure is prohibited by law. If we terminate your account for breach, you will not be entitled to a refund of any fees paid.

You may close your account at any time by contacting us at hello@uverus.com. Closure of your account does not affect any rights or obligations that arose before the closure date, and we will retain your data as required by applicable law and our Privacy policy.

9. Limitation of liability

To the maximum extent permitted by applicable law, Uverus Technologies Limited and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use our Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or our Services, regardless of the form of action, shall not exceed the total fees paid by you to Uverus in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Nigerian law.

10. Governing law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or our Services shall be submitted to the exclusive jurisdiction of the courts of Nigeria, with the Federal High Court sitting in Abuja as the court of first instance for commercial disputes. You irrevocably submit to the personal jurisdiction of these courts.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days following written notice of the dispute.

11. Changes to these terms

We may update these Terms from time to time to reflect changes in our Services, applicable law, or our business practices. We will provide at least 30 days' advance notice of material changes by email, in-app notification, or by posting a notice on our website.

Your continued use of our Services after the effective date of any updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using our Services before the effective date.
